Acquisitions of Closely Held Enterprises

COURSE DESCRIPTION
Any second year MBA candidate who thinks they may personally aspire to
own, and in most cases, manage a closely held business enterprise.
The purchases of both privately owned and subsidiaries or divisions of
publicly owned companies will be analyzed and discussed. Because
of the many ancillary topics that will be considered during the course,
such as valuation techniques, due diligence, deal structure, tax and
legal matters, financing alternatives, etc., the course may also be of
interest to those MBA candidates who are interested in leveraged
buyouts, investment banking, venture capital and other related careers.

business entity.

being a business owner/operator or a professional manager in some
other entity.

Readings
GRADING (Drop/Add)
- 25% Class Participation (there will
be “cold” calling)
- 25% Written Class Work (neatness and spelling count)
- 50% Written Final Exam (5 hours)
Due the extremely important content of
classes 1 and 2 in establishing the "base" for the rest of the
course, as well as the final exam, any student that misses the first
2 classes is encouraged to drop the course. If after missing these 2
classes, and for any reason, the student also misses class 3, and
then chooses to continue with the course, their full grade for class
participation will be an "F", as well as an "F" on the first 2 of 5
of the written assignments. You need to also remember that the
drop/add date for this special 3-week class is the second day of
class and not the third or fourth.
Attendance: Students are expected
to attend all classes.
